    A German renewable energy company that had won a bid to develop a 50MW solar project in southern Namibia and needed a Namibian operating entity registered and compliant before the project commencement date in the concession agreement.

    The company had never operated in Namibia and had no understanding of the local registration process. The concession agreement required a Namibian-incorporated entity as the project vehicle. The company had engaged a Windhoek attorney who had provided a quote but no structured implementation plan and a timeline that would have missed the concession commencement date. The company's European project manager contacted us with six weeks to entity registration.

    Our Approach

    We managed the full BIPA registration process for a Private Company (Pty Ltd), including name reservation, preparation of the Memorandum and Articles of Association, and registration of the foreign parent as a shareholder under BIPA's foreign ownership provisions. We handled the NamRA registration for income tax and VAT, SSC registration, and coordinated the bank account opening. We also advised on the Namibia Investment Promotion and Development Board requirements relevant to the foreign-owned energy project and prepared the necessary compliance filings.
